Welcome to Light Leads. These Terms and Conditions ("Terms") govern your access to and use of the Light Leads website, our custom CRM software, and our digital marketing and web development services (collectively, the "Services").

By accessing our website, creating an account, or purchasing our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

1. Our Services

Light Leads provides a combination of software-as-a-service (SaaS) and bespoke agency services. Our offerings generally fall into two categories:

• CRM Software: A custom customer relationship management platform provided on a recurring subscription basis.

• Agency Services: Digital marketing, website development, and other customised growth services provided under bespoke packages.

2. User Accounts and Security

To access our custom CRM software, you must register for an account.

• You must provide accurate, current, and complete information during registration.

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must notify us immediately of any unauthorized use of your account or any other breach of security.

3. Payments, Billing, and Refunds

• CRM Subscriptions: Our CRM software is billed on a recurring monthly subscription basis. By signing up, you authorise us to charge your payment method automatically at the start of each billing cycle.

• Agency Services: Marketing and website development services are billed according to the specific, bespoke package agreed upon between you and Light Leads.

• Refund Policy: To the maximum extent permitted by the Australian Consumer Law (ACL):

  • We do not offer refunds for partial subscription months. If you cancel your CRM subscription, you will retain access until the end of your current paid billing cycle.

  • We do not offer refunds on completed marketing services or custom website builds, as these involve irretrievable labor and custom intellectual property tailored specifically to your business.

4. Acceptable Use of the CRM and User-Generated Content

You may upload your own content, including client lists, business data, and marketing assets ("User Content"), into your private CRM account.

By using our CRM, you agree to the following Acceptable Use rules:

• Ownership: You retain all ownership rights to your User Content. You grant Light Leads a limited, non-exclusive license to host, process, and display this data solely for the purpose of providing the CRM services to you.

• Compliance: You represent and warrant that you have the legal right and necessary consents to upload and use your User Content (especially personal data belonging to your clients).

• Prohibited Conduct: You must not use the CRM to store or transmit illegal, defamatory, or malicious content, nor use it to send unsolicited spam in violation of the Spam Act 2003 (Cth).

5. Intellectual Property Rights

• Light Leads IP: All software code, designs, website layouts, templates, and methodologies associated with the Light Leads platform and services are the exclusive intellectual property of Light Leads. You are granted a limited, revocable license to use these tools while you are a paying client.

• Deliverables: For bespoke website builds and custom marketing assets, ownership of the final deliverables will transfer to you only upon full payment of the associated invoices, subject to any underlying third-party licenses (e.g., stock imagery).

6. Limitation of Liability

To the maximum extent permitted by law, including the Australian Consumer Law:

• Light Leads provides the CRM software on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill arising from your use of the Services.

• Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the total amount paid by you to Light Leads in the three (3) months preceding the event giving rise to the claim, or the re-supply of the services.

7. Termination of Service

• By You: You may cancel your CRM subscription or terminate this agreement at any time by contacting us or using the cancellation feature within your account. Termination will be effective at the end of your current billing cycle.

• By Us: We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you breach any of these Terms, including failure to pay fees or violation of the Acceptable Use policy.

• Data Retrieval: Upon termination, you will have a limited grace period of 7 days to export your User Content before it is permanently deleted from our servers.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Queensland, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Effective Date." Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
